The present appeal has been filed against the impugned order dated 22nd July, 2021 whereby the respondent has imposed a penalty for refusal of waiver and accordingly affirming the fine imposed for non-compliance under the Securities and Exchange Board of India (Listing Obligation and Disclosure Requirements) Regulations, 2015.

Without going into the merits, we find that the respondent has not taken into consideration the impact of the pandemic and the lockdown that was imposed by the Government of India. Consequently, we set aside the impugned order and remit the matter to the authority to re-decide the matter after taking into consideration the impact of the lockdown declared by the Government of India. The appeal is allowed. The respondent will decide the matter within eight weeks from today.

The present matter was heard through video conference due to Covid-19 pandemic. At this stage it is not possible to sign a copy of this order nor a certified copy of this order could be issued by the registry. In these circumstances, this order will be digitally signed by the Private Secretary on behalf of the bench and all concerned parties are directed to act on the digitally signed copy of this order. Parties will act on production of a digitally signed copy sent by fax and/or email.
