PER ANUBHAV SHARMA, JM:
This appeal is preferred by the assesse against the order dated 19.09.2025 of the Ld. National Faceless Appeal Centre (NFAC), Delhi (hereinafter referred as Ld. First Appellate Authority or in short Ld. ‘FAA’) arising out of the order dated 29.03.2024 u/s 271G of the Income Tax Act, 1961 (hereinafter referred to as ‘the Act’) passed by AO, Assessment Unit, for AY: 2007-08.
Heard and perused the record. The assessee’s return of income was selected for complete scrutiny and a reference was made to Transfer Pricing Officer (TPO) for determining arm’s length price of international transactions of the assesse and vide notice u/s 92CA(2) of the Act dated 06.09.2022 assessee was required to produce certain documents which was relied upon by assesse in support of computation of arm’s length price of international transactions. Subsequently, in response to the notice issued vide reply dated 25.02.2023 assessee had submitted financial statement etc. desired by ld. TPO except transfer pricing study/documentation. Thereafter notice dated 06.06.2023 was issued u/s 92CA(2) of the Act by which assesse was directed to file transfer pricing study report and assesse was givena show cause, too, as to why proceedings u/s 271G of the Act should not be taken up. Subsequently, ld. TPO has passed the order making adjustments on account of international transactions by ignoring the transfer pricing study report and against which assesse had preferred objection before ld. DRP and where the objections of assesse were rejected and final assessment order u/s 144C(13) dated 24.07.2024 was passed. Assessee filed appeal before this Tribunal and vide order dated 15.01.2025 vide ITA No. 4404/Del/2024 the Coordinate Bench had allowed the appeal of assesse for statistical purposes with following observations and directions:
“13.We have heard the rival submissions and have perused the relevant material on record. We are of the considered view that the TPO did not have adequate time to study the TP Study Report as it was submitted only on 21.07.2023 whereas he passed the order u/s 92CA(3) on 27.07.2023. In the interest of justice and fair play, we deem it fit to remit the entire matter to the file of the AO/TPO for fresh adjudication. Accordingly, the order of the Assessing Officer/TO as well as the DRP is set aside and the matter is remitted back to the file of the Assessing Officer who would refer the matter to the TPO for fresh consideration of the TP Study Report for making de novo order u/s 92CA. With these directions, the grounds of the assessee are allowed for statistical purposes.”
However, assesse was confronted by notice date 22.03.2024 as to why penalty u/s 271G of the Act should not be imposed for failure to furnish information or document referred under Section 92D of the Act. The assesse had responded to the same and the copy of the reply is available at page No. 135 to 144 of the paper book and subsequently, the impugned order of levy of penalty vide order dated 29.03.2024 was passed and penalty @ 2% of total international transaction amounting to Rs.2,20,14,302/- was levied which has been sustained by the ld. CIT(A) and for completeness we consider it appropriate to reproduce the relevant part of discussion and decision of ld. CIT(A) in para 5 with sub-paras, as follows:
“5.0. Discussion & Decision:
5.1.The submission of the assessee is carefully considered. The principal reason of imposition of penalty u/s.271G is non-compliance to the provisions of Section 92D(3) of the Income tax Act wherein any person entering into international ltransaction of specified domestic transaction has to keep and maintain certain information and documents as specified u/r.10D and provide the same before the TPO/AO as per requisitions issued vide notice u/s.92D(3). Pursuant to such statutory requirement in the Section 92D, the assessee had to maintain all the relevant documents as required by Rule 10D r.w.s. 92D and are required to provide the same to the TPO or AO within the specified time as per his requisition.
5.2.The main issue that whether the appellant has discharged the liability as per the aforementioned Income tax Act and Rules for the financial year under consideration. On perusal of para 4 of the TP order dated 27.07.2023, it is seen that the TO has mentioned vide para 4 of the show cause notice dated 17.07.2023 (page 2 of the TP order) that assessee did not furnish TP report in the course of the Transfer Pricing Audit that was been conducted by the TPO. In para 10 of the said show cause (page 4 of the TP Order), the TPO has also mentioned that with respect to the interest paid during the year, the assessee has not provided loan agreement, partners of the loan, proof of payments etc. The TPO vide para 11 of the same show cause notice, the TPO has sought to initiate penalty proceedings u/s.271G of the I.T. Act.
5.3.It is also emanated from the order of TRO that the appellant has filed the TP study report only on 21.07.2023. Now it is to be noted that the TP study report is a primary document which/are required to benchmark the transaction to determine Arms Length Pricing. The fact that the basic documents has not been provided in response to seven notices issued by the TPO requisitioning the same and documentary evidence other than TP report in support of the international transactions undertaken by the assessee clearly implies that the said documentation has not been prepared and maintained at the end of the appellant. The appellant has filed his written submission alongwith form 35 and also made a supplementary submission on 20.01.2025 in the course of appellate proceeding wherein it failed to elaborate and explain satisfactorily as to why the documentation has not been provided before the Transfer Pricing Officer inspite of repeated notices requisitioning the same.
5.4.Vide para (vii) of its submission dated 20.01.2025, the appellant claimed that the ITAT Delhi and remanded the matter to the TPO or Assessing Officer for de novo assessment. However, the final order could not be made available to this office. Now it is to be mentioned the ITAT order doesn't have any implementation on the issue of failure to maintain documents as prescribed in Rule 10D r.w.s. 92D of the Income tax Act. As per Section 92D(3) the assessing officer in the course of proceedings under this Act, may request any person who had entered into international transaction or specified domestic transaction to furnish any information or document referred therein within a period of 10 days from the date of receipt of notice received in this regard. In this instant case, in the course of TP proceedings, the appellant failed to provide such documentation including the TP study report to the TPO within the time provided alongwith the extended time given vide notice dated 06.09.2022, 08.12.2022, 09.12.2022, 22.03.2023, 04.05.2023, 08.05.2023 and 06.06.2023. The TP study report was provided only when a show cause notice was issued 17.07.2023 which implies that the assessee did not maintain such document which it required to maintain as per Section 92D(1) of the Income tax Act since the TP study report (encapsulating) and the documentation maintained therein and other relevant documents in support of the study report could not be produced before the Assessing Officer for a period of approximately ten months. Section 271G states that penalty maybe imposed on any person who enter into an international transaction or specified transaction fail to produce such information or documentation as specified under section 92D of the Income tax Act. Since the appellant has failed to provide the documentation in connection to the international transaction before the Transfer Pricing Officer as mandated in Section 92D(3) of the Income tax Act, the TPO has levied a penalty u/s.271G on the appellant. Now evidently imposition of penalty u/s.271G is clearly connected with non-compliance of provisions of Section 92D(3) of the Income tax Act and accordingly, it has nothing to do with the final outcome of the assessment proceedings before any appellate authority including DRP and ITAT. Hence, the appellant's contention in para (vii) of its submission dated 20.01.2025 that the penalty order u/s.271G stemmed out of TPO's order is entirely misplaced and accordingly, rejected as a valid ground for deletion of penalty.
In this connection, it is also to be mentioned that the AO, as per 271G the TO may direct the defaulter to pay a sum equal to 2% of the value of international transactions for each such failure. In this instant case, the number of failures of the appellant was more than one, however, the TPO has taken a liberal approach by restricting the penalty amount to only 2% of the turnover. Since it appears that the quantum of penalty imposed by the TO has been taken under due consideration of the fact, the judgement of the TPO is respected and no interference is being made as per as quantum of penalty is concerned.
5.5.On the basis of above discussion, I am of the considered opinion that the TPO has justifiably imposed penalty u/s.271G in the instant case as the appellant squarely failed to discharge its responsibility as stated in provisions of 92D(3) of the Income tax Act without any justifiable cause. The grounds of appeal placed before the undersigned which are in connection with the aforementioned penalty order are hereby rejected. The appellant's appeal is therefore, dismissed and the order u/s.271G imposing penalty of Rs.2,20,14,302/- is confirmed.”
The assesse is accordingly in appeal and has raised following ground:
“1.Because the Impugned Order dated 19.09.2025 has been passed by the Ld. CIT(A)u/s u/s of the Act without appreciating the mandate of Section 92D(3)r/ Section 271G of the Act as it is an admitted fact that substantial compliance was made to Notice u/s 92CA(2) vide reply dated 25.02.2023 and the Appellant only inadvertently failed to attach the Transfer Pricing Study Report which was duly submitted along-with other documents/record in reply to Show Cause Notice u/s 92CA(2) and 92D(3) of the Act dated 17.07.2023 on 21.07.2023 i.e., within 10 days as mandated u/s 92D(3) of the Act and therefore it is not a case of failure to submit information/document u/s 92D(3) of the Act which is necessary to attract penalty proceedings u/s 271G of the Act and further that Show Cause Notice u/s 271G was issued without application of mind and in an omnibus manner without specifying the required documents which the Appellant failed to produce u/s 92D(3) of the Act.
2.Because the Impugned Order dated 19.09.2025 passed by the Ld. CIT(A) u/s 250 of the Act is in violation of Section 273B of the Act as the Ld.CIT(A) has failed to appreciate the reasonable cause for alleged delay in furnishing Transfer Pricing Documentation as mandated u/s 92D(3) of the Act r/w Rule 10D(1) of the Rules and the said Order of the Ld. CIT(A) is completely non speaking as it has failed to deal with or consider the submissions pertaining to the said alleged delay.
3.Because the Impugned Order dated 19.09.2025 has been passed by the Ld.CIT(A)u/s u/s of the Act without appreciating that it is an admitted fact that the Assessee has maintained all documents/records as required under Section 92D(3) of the Act r/w Rule 10D(1) of the Rules and furnished thesame to the TPO in the course of the proceedings and sufficient / substantial compliance was made and further that the Assessee has acted in a bona fide manner without any mala fide intent and the alleged failure to provide Transfer Pricing Report was due to an inadvertent mistake to attach the Report despite marking the same in the affirmative in the reply to Notice u/s 92CA of the Act.
4.Because the Impugned Order dated 19.09.2025 passed by the Ld. CIT(A) u/s 250 of the Act is arbitrary and non-speaking as the same has completely failed to consider the Ground Wise Submissions of the Appellant and recorded no finding on the merits of the case vis-à-vis the submissions made by the Appellant.
5.Because the Impugned Order dated 19.09.2025 has been passed by the Ld. CIT(A) u/s 250 of the Act without appreciating that this Hon'ble Tribunal has set aside the Order of the Ld. AO/TO and further Order of the Ld.DRP and remanded the matter for fresh adjudication and consideration of the TP Study Report for making de novo order u/s 92CA of the Act.
6.Because the Impugned Order dated 19.09.2025 has been passed by the Ld. CIT(A) u/s 250 of the Act without appreciating the factual matrix of the case in as much as the value of international transactions have been inflated without application of mind and penalty has been imposed @2% on such alleged value of international transactions mechanically without verifying the facts and circumstances of the case.
7.Because the Impugned Order dated 19.09.2025 has been passed by the Ld. CIT(A) u/s 250 of the Act without appreciating that Order of the Ld. TPO u/s 271G dated 29.03.2024 was passed in violation of Section 275 of theAct and no reasonable opportunity of being heard was afforded to the Appellant.”
The contention of ld. Representative were primarily same as reflected in impugned orders and what we find is that in order to attract the provisions of Section 271G, it is imperative that the failure to furnish information or document has to be a failure u/s 92D(3) of the Act whereas it is an admitted position that Notice was initially issued u/s 92CA(2) dated 06.09.2022 and pursuant to which other notices were issued pertaining to Computation of the Arm's Length Price for A.Y. 2020-21 and a further Notice u/s 92CA(2) was issued on 06.06.2023 requiring the Appellant to provide information/documents maintained u/s 92D(1) of the Act r/w Rules 10D(1) and (3) of the Rules. It was submitted that the only Notice u/s 92D(3) was Show Cause Notice issued on 17.07.2023 and the Appellant has duly submitted the Transfer Pricing Study Report on 21.07.2023, i.e., within 10 days as required u/s 92D(3) of the Act and hence the very basis of initiation of penalty proceedings u/s 271G is not tenable. It is further submitted that in pursuance to the Order dated 27.07.2023passed by the Ld. TPO u/s 92CA(3) of the Act, a Notice u/s 274 r/w 271G of the Act dated 22.03.2024 was issued to the Assessee, the relevant excerpt of which is reproduced under;
Whereas in the course of proceedings before me for the Assessment Year 2020-21, it appears to me that you have failed to furnish information or document under section 92D of the Income Tax Act,1961.
Additional Remarks: Assessee has failed to furnish documents required Us 92D.
It is submitted that without prejudice to the submission that all required documents/information were already submitted to the Ld. TPO vide reply dated 25.02.2023 and 21.07.2023 and forms part of the record, the Notice issued u/s 271G is bereft of any specific determination of information or document which the Appellant has failed to submit.
It is further submitted that the relevant year in question was the first year of operation of the Appellant and the management of the Appellant were South Korean nationals who were completely dependent on the Consultant to satisfy all statutory compliances and the Transfer Pricing Report was inadvertently not submitted despite marking the same in the affirmative in Point No.2 of reply to Notice u/s 92CA(2) of the Act dated 25.02.2023. It is further submitted that after the change in consultants, the Appellant has duly responded to all Notices and fully participated in the proceedings in a timely manner without any allegation of delay by the Department. An Affidavit of Mr. Changyoun Woo, Managing Director of the Appellant was made part of record.
On the other hand, ld. DR has merely relied the impugned order and submitted that proceedings u/s 271G are independent and only on the basis of that the Coordinate Bench has restored the issue to TPO/AO to take into consideration the Transfer Pricing report does not lead to automatic setting aside the penalty proceedings.
We have considered the rival contentions and perused the material no record and what is material is that when matter was fixed for clarification on 27.07.2026 to enquire about the state of effect giving order passed in consequence to the order of the Tribunal dated 15.01.2025, the Ld. Counsel for the assesse has filed before us the copy of notice dated 23.02.2026 and said notice has been issued u/s 92CA(2) of the Act and for completeness we reproduce the said notice: (Notice dated 23.02.2026)

The aforesaid notice dated 23.02.2026 makes it apparent that de novo proceedings have been initiated by ld. Tax authorities and ld. TPO called for information and documents maintained u/s 92D(1) of the Act r.w.rule 10D (1)(iii) of the Income Tax Rules, including the copy of Transfer Pricing study report.
We have considered the contentions and perused the material on record and we find that after the order u/s 92CA(3) of the Act was passed on 27.07.2023 the notice dated 22.03.2024 was issued u/s 274 r.w.s. 271G of the Act wherein the ld. TPO preface the notice with the following words:
“Whereas in the course of proceedings before me for the Assessment Year 2020-21, it appears to me that you have failed to furnish information or document under section 92D of the Income Tax Act, 1961.”
We find that this notice nowhere mentions that it was with regard to non-filing of the transfer pricing study report, specifically the proceedings u/s 271G were initiated. As we consider the impugned order of levy of penalty we find that it was with regard to this notice dated 22.03.2024 only the ld. TPO had taken cognizance of penalty proceedings as the submissions of assesse date 28.03.2024 are reproduced and were not found satisfactory. In regard, we are of the considered view that when notice u/s 274 r.w.s 271G was issued for assumption of jurisdiction to levy of penalty, as the ld. TPO had failed to specifically mentioned in the notice as to which of the information or documents called u/s 92D were not filed, such ambiguous notice is not sustainable in law and penalty levied on the basis of such notice is not sustainable and reliance in this regard is placed on the decision of Hon’ble Delhi High Court in Commissioner Of Income Tax-Ii vs M/S Leroy Somer & Controls (India) Pvt. Decided on 30 August, 2013, vide ITA no. 410/2012, and concluding the findings, Hon’ble High Court has laid down as follows;
“Thus, for imposing penalty the Revenue must first mention the document and information, which was required to be furnished but was not furnished by the assessee within the specified time. The documentation or information should be one specified in Rule 10D, which has been formulated in terms of Section 92D(1) of the Act.”
Further we find that in the impugned order of levy of penalty dated 29.03.2024 while rejecting the submissions of assesse ld. TPO has observed that notice u/s 92D, were served, by making following observations;
“6.2.1The submission has not been found to be satisfactory. The scrutiny proceedings were barred by limitation On 31.07.2023. The assessee was provided multiple opportunities vide notices u/s 92D of the Act dated 6/09/2022, 08/12/2022, 09/12/2022, 22/03/2023, 04/05/2023, 08/05/2023 and 06/06/2023 to provide the transfer pricing report, to enable this office to scrutinize the international transactions of the assessee. However, the transfer pricing report, which is the basic document required for benchmarking of transactions was not provided till 21.07.2023. The primary onus to establish that a transaction is at arm's length rests upon the assessee and in not furnishing the transfer pricing report, the assessee failed to discharge this statutory obligation placed upon it.”
We find from this impugned order and observations of Ld. TPO and para 6.2.1 as reproduced above that as per TPO notices u/s 92D of the Act were issued but there is no mention of any notice specifically issued under the provisions of Section 92D(3) whereby assesse was put under obligation to furnish any information or document within the period of 10 days. Copy of last notice dated 06.06.2023, referred in this para no. 6.2.1, is part of the appeal set as annexure P/4 at page No. 96 and the same is also a notice u/s 92CA(2) of the Act and not under section 92D(3) of the Act. In this regard we find that dismissing the appeal of the revenue the Hon’ble Supreme Court in CIT v. Gillette India Ltd. (2018) 259 Taxman 352 (SC)], has held that a specific finding should be recorded with respect to the date by which assessee was required to furnish documents and whether said documents were furnished within specified date. Thus on this account also the penalty deserves to be quashed.
Then we find that ld. TPO had also issued a notice dated 17.07.2023, though no reference of same is there in impugned order dated 29.03.2024. The notice dated 17.07.2023 is available as annexure P/6 page No. 99 of the appeal set and the same shows that this notice was issued with following subject;
“Proceedings u/s 92CA(2) and 92D(3) of the Income Tax Act, 1961 – Computation of Arm’s Length Price- A.Y. 2020-21 (Show Cause Notice)-reg.”.
Now, in response to this notice specifically issued u/s 92D(3) of the Act assesse had responded and a reply dated 21.07.2023 was filed wherein the TP report was attached, the reply is annexure 2 available at page No. 107-122 of the paper book. Thus, it is established that when notice u/s 92D(3) was specifically issued on 17.07.2023, same was complied with and the ld. TPO had taken cognizance of the same also, by observing in the TPO order dated 27.07.2023, that transfer pricing report was submitted by the assesse on 21.07.2023, but was same left out of consideration as it was filed at end of period for passing the order. Thus there was actually no, non-compliance, justifying initiation of proceedings and levy of penalty.
In the light of these facts and circumstances as discussed above we are of the considered view that procedure and provisions of Section 271G being penal in nature providing for levying of penalty @ 2% on the total international transaction, which in the case of assesse was calculated to Rs.2,20,14,302/, same need to be strictly adhered to and in the absence of due process being followed, the penalty deserves to be deleted. We thus, sustain the ground. The appeal is allowed and the impugned penalty order is quashed.
