This Company Petition is filed with the prayer to Order dissolution of Aliceblue Insurance Broking Private Limited
The relevant facts emanating out of application are:
The Applicant Company was incorporated on 31.05.2021 in Bengaluru, Karnataka under the provisions of the Companies Act, 2013, bearing CIN: U66000KA2021PTC147953.
The Board of Directors of Applicant at their meeting held on 15.09.2023 decided to voluntarily liquidate the Applicant and executed a Declaration of Solvency o.
It is declared that the Applicant is not being liquidated to defraud any person.
A Special Resolution to liquidate the Company voluntarily was passed on 12.10.2023 and Shri S. Vijay Mahindhran was appointed as Liquidator.
The Audited Financial Statements of the Applicant for the Financial Years 31.03.2022 and 31.03.2023 along with the Auditor's Report have been filed.

We have heard Ld. Counsel for the Liquidator, Ld. Counsel for the I.T. Dept. and carefully perused the material on record and relevant legal provisions.
On being notified, ROC, Karnataka has filed the Status Report on 14.11.2025 stating that no enquiry/inspection/complaint/legal action is pending against the Applicant.
In response to the notice served, the I.T. Dept. has filed report vide Diary dated 03.11.2025, stating that the Company has an outstanding TDS demand of Rs.3000/- for the F.Ys.2024-2025.
Accordingly, the Liquidator has filed a memo vide Diary No.6710 dated 02.12.2025, stating that the outstanding TDS dues have been paid by the Petitioner Company, and that it has complied with all necessary provisions of the Companies Act, 2013, with no violations on the part of the Company. It is further stated that a copy of the Form GNL-2, along with a copy of the present Petition, has been filed with the ROC.
On examination of the submissions and documents filed with the Application, it is apparent that the affairs of the Applicant have been completely wound up and its assets have been entirely liquidated and as such the Applicant Company deserves to be dissolved. Accordingly, in exercise of the powers conferred under Section 59(8) of IBC, 2016, M/s. Aliceblue Insurance Broking Private Limited is hereby dissolved and C.P.(IB) No.215/BB/2025 is allowed subject to desired liberty to the Registrar of Companies.
The Liquidator is directed to inform the Income Tax and GST Departments regarding dissolution of Applicant and surrender the PAN number and GSTIN to respective Offices.
The Registry and the Liquidator are directed to serve a copy of this order upon ROC, Bengaluru at their mail id – roc.bangalore@mca.gov.in, and IBBI within fourteen days from the date of receipt of a copy of this order.
