27.01.2026: I.A. No. 7542 of 2025: This is an application filed by the Successful Resolution Applicant (Respondent in the appeal) praying for following reliefs:

“a. To pass directions to the Respondent No.1 (Mr. Shonu Chandra; Respondent No.3 in the Appeal; "Respondent No.1") and the Respondent No.4 (the concerned Sub-Registrar, District Alwar) to execute and register the Sale Deed, without requiring the Respondent No.2 (the Appellant in the captioned Appeal) (or Sunder Lal's or any of Appellant's legal heir's) presence, with a view to give due effect and ensure compliance of the order and judgment dated October 15, 2025, passed by this Hon'ble Appellate Tribunal;

b. To pass any other order as the Appellate Tribunal may deem appropriate in the facts and circumstances of the instant case.”

Company Appeal (AT) (Ins.) No.1293 of 2025 was filed by Late Babu Lal through its legal heir Sunder Lal challenging the order of the Adjudicating Authority by which order the Power of Attorney (POA) holder was directed to execute the document. Appeal was dismissed by this Tribunal by judgment dated 15.10.2025. In Para 32 of the judgment following was observed:

“32.

Given this backdrop, we find the Appeal to be devoid of substance. The Appeal is dismissed. We find no reasons to modify the impugned order and direct Respondent No.3, namely, Shonu Chandra POA holder and Appellant-Sunder Lal, legal heir of the deceased Babu Lal to execute the Sale Deed in favour of the Corporate Debtor to give effect to the concluded transaction within 30 days from the date of passing of this order. No order as to costs.”

Learned counsel for the Applicant submits that against the order dated 15.10.2025, Sunder Lal has filed an appeal before the Hon’ble Supreme Court being Civil Appeal No.13878 of 2025 which was also dismissed on 25.11.2025.

We have issued notice in this application and we have passed an order on 08.01.2026 granting time to file reply to the Application. Learned counsel appearing for the Respondent No.1 – Sunder Lal submits that Mr. Sunder Lal is bed ridden due to fracture and he is unable to give any instructions. We are of the view that the prayers made in the application need to be considered.

We clarify that the execution of the document shall be in accordance with the direction of the Adjudicating Authority, which order was affirmed by this Tribunal as well as the Hon’ble Supreme Court. With this clarification, this application is disposed of.
