Form – H was filed by the Resolution Professional vide Diary No. D-8680 on 03.12.2024. A perusal of the same reveals that 180 days of the CIRP period of the Corporate Debtor expired on 28.04.2024. Thereafter, this Adjudicating Authority extended the CIRP period on two occasions i.e. on 09.07.2024 and on 14.10.2024. The extended CIRP period expired on 07.11.2024.
In Para-11 of Page-6, the RP has stated that in the present case, in absence of assets and to reduce cost, neither the Registered Valuer was appointed nor Form-G was published inviting expression of interest.
The 11th COC meeting was held on 24.10.2024. At page-89 of the application, the relevant resolution is provided, which is as below:
"RESOLVED THAT pursuant to Section 33(2) of the Insolvency and Bankruptcy Code, 2016, the approval of the COC be & is hereby accorded for Liquidation and further RP to file an application with the Hon'ble NCLT for the Liquidation of the Corporate Debtor. The members of CoC asserted to put the above Resolution on ballot paper. The RP received the voting sheet on 5.11.2024. Following the vote process Intec Capital, holding 90.10% of the voting share, assented in favor of the resolution. However, the Central Bank of India, holding 9.90% of the voting share, neither cast its vote nor responded to the email."
The said COC meeting was attended by only one Financial Creditor i.e. Intec Capital Limited having voting share of 90.1%. The said resolution was approved through a physical ballot. Copy of which is attached from page-93 to 95.
It is seen that the COC with 90.1% majority has approved the said resolution seeking liquidation of the Corporate Debtor and for appointment of the Applicant herein as the Liquidator of the Corporate Debtor.
We have heard the Ld. Counsel for the Applicant and perused the records.
From the averments of the application, it is seen that the Corporate Debtor was not in business at the time of commencement of CIRP. It is also seen that there are no assets of the Corporate Debtor and looking at the circumstances of the Corporate Debtor, the COC in its 3rd and 4th meetings decided not to appoint the Registered Valuer or to publish Form – G.
Further, it is also seen that the extended CIRP period of the Corporate Debtor has already ended on 07.11.2024 and that the COC in its 11th meeting with requisite majority has passed necessary resolution seeking qua the liquidation of the Corporate Debtor.
In view of the law laid down by the Hon’ble Supreme Court in the matter of K. Sashidhar Versus Indian Overseas Bank &Ors. in Civil Appeal No. 10673 of 2018 has held that the commercial decision of CoC is non-justiciable, we are constrained to order for liquidation of the Corporate Debtor.
